Terms and Conditions

The purpose of the RepSource is to provide, among other things, a means for independent sales reps and their principles to meet. Companies or individuals who wish to use information found in the RepSource database should e-mail or phone the contact person listed in the applicable listing or advertisement to secure permission to use information about the listing or advertisement. The individual responsible for providing the listing or advertisement in the RepSource database can best provide the user with complete details about the information contained in the listing or advertisement.

If you submit materials for publication in the RepSource database or use (such as by reading or posting information on) RepSource database, you are using Virtual Media Works services (the "Services"). By using the Services, you agree to the terms and conditions set forth in this agreement. If you do not agree to these terms, please do not use the Services. Over time, we may make changes to the terms of this agreement thereby altering the terms and conditions governing the use of the Services. For users of theRepSource database, the version of this agreement that is posted on this website on the date you sign the advertiser agreement will govern your submission of materials for publication in the RepSource database. For users of the RepSource database, if we make any changes affecting the use of the RepSource database, we will notify you by posting the item prominently on this webpage . If you continue to use the RepSource database after a change has been posted, you agree to conform your use  to that change. If you do not want to agree to a change we make, we ask that you stop using the RepSource database at that time.

When submitting materials for publication in the RepSource database, please act responsibly and be respectful of other users and contributors. Some of the material that may be published in the RepSource database is protected by copyrights, trademarks and other intellectual property laws. Therefore, you may not copy, transmit, distribute (including by e-mail or other electronic means), sell, make changes or otherwise reproduce any materials from the RepSource database without the prior consent of the owner. However, you can make photocopies of small portions of the RepSource database and print or download information from the RepSource database as long as you only use that information for your own personal, non-commercial use.

Whether you are submitting material for publication in the RepSource database, you represent and warrant that such material (i) is true and accurate at the time of your submission; and (ii) does not and shall not violate or infringe any common law or statutory right of any person or other entity including, without limitation, any contractual rights, proprietary rights, trademark, service mark, copyright or patent rights, or any rights of privacy or publicity, and that such material is not threatening or libelous, does not violate any law or regulation, and does not contain any instructions, recipes or formulas that, if implemented, would result in injury. In addition, by submitting a news release for display in the Expert Source database, you represent and warrant that you have the right and authority to distribute the news release on behalf of the person or entity about whom the news release relates.

In addition, when registering to use the RepSource database or using a password in connection with the RepSource database, we ask that you do not use a false user name or identity or let others use your user name and password. Each person is responsible for the actions that are taken under his or her user name and password. We retain the right to deny access to the RepSource database to anyone who we believe has violated these terms or any other term of this agreement.

We do not review, endorse, or investigate the advertising in the RepSource database, and, thus, we cannot promise the information contained in the advertising, postings or listings is reliable or accurate or that the information does not infringe or violate any laws. We also cannot guarantee that the files or information that you may download from the the RepSource database do not have harmful features, such as viruses. If you download any materials from any of the RepSource databases or rely solely on the information in the RepSource database, you do so at your own risk.

We reserve the right (but assume no obligation) to delete, move, or edit any advertisements and postings in the RepSource database that come to our attention that we consider unacceptable or inappropriate, whether for legal, or other reasons.

We also realize that you may find certain postings on the RepSource database to be objectionable.
The RepSource database is an impartial database of information.

In addition, when you submit material to the RepSource database, you are permanently granting us all rights to the material, including the right to reproduce and publish the material in the RepSource database, to modify the material, to use it commercially, and to maintain the material in an archive in any medium.

You agree to become a member of the RepSource email mailing list. Your name is automatically entered into our mailing list upon your membership. You do have the right to opt out at any time.

Without the prior written permission of Virtual Media Works, you may not frame any of the content on the RepSource database, or incorporate into another website or other service any intellectual property of the RepSource database. Requests for permission to frame the content on the  RepSource database may be sent to us by e-mail to support@vmwinc.com. Because of the number of possible sources of information available through the RepSource database, and, with respect to the RepSource database, the inherent hazards and uncertainties of electronic distribution, there may be delays, omissions, inaccuracies, or other problems with such information. If you rely on the RepSource database or any material available through the Services, you do so at your own risk.

As membership to RepSource allows you access to the RepSource database upon payment, we do not offer refunds or reimbursements on either Silver, Gold, or Platinum memberships.

THE SERVICES ARE PROVIDED TO YOU "AS IS." VIRTUAL MEDIA WORKS AND ITS AFFILIATES, AGENTS AND LICENSORS CANNOT AND DO NOT WARRANT THE ACCURACY, COMPLETENESS, CURRENTNESS, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OF THE INFORMATION AVAILABLE THROUGH THE SERVICES, NOR DO THEY GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, OR CONTINUOUSLY AVAILABLE, OR THAT THE SERVICES WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

UNDER NO CIRCUMSTANCES SHALL VIRTUAL MEDIA WORKS, OR ITS AFFILIATES, AGENTS OR LICENSORS BE LIABLE TO YOU OR ANYONE ELSE FOR ANY DAMAGES OTHER THAN DIRECT DAMAGES. THIS PROVISION INCLUDES, WITHOUT LIMITATION, ANY LIABILITY FOR CONSEQUENTIAL, SPECIAL, INCIDENTAL, AND INDIRECT OR SIMILAR DAMAGES, EVEN IF WE ARE ADVISED BEFOREHAND OF THE POSSIBILITY OF SUCH DAMAGES. YOU AGREE THAT THE LIABILITY OF VIRTUAL MEDIA WORKS, AND ITS AFFILIATES, AGENTS AND LICENSORS, IF ANY, ARISING OUT OF ANY KIND OF LEGAL CLAIM IN ANY WAY CONNECTED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO VIRTUAL MEDIA WORKS FOR THE USE OF THE SERVICES.
